           Dear Friends,
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           We begin 2025 in the midst of five major construction projects that establish the path for a downtown transformation from an industrial center to a transit oriented development district. During most of the 20th century, downtown Naugatuck had an average of 15,000 factory workers a day coming to the downtown core to work, eat, shop and seek other forms of entertainment. Downtown Naugatuck was vibrant. The grand list was strong. Many residents yearn for a
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           return to the so-called "glory days".
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           A problem arose in the latter part of the 20th century when manufacturing left the entire Naugatuck Valley. Downtown Naugatuck along the river was barren except for the dilapidated buildings and polluted soils underneath the buildings. The downtown core remained stagnant for decades as retail businesses joined industry in leaving the Naugatuck Valley. Downtown Naugatuck lost its way and our grand list gradually decreased. The reduced tax base resulted in a lack of
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            spending for infrastructure and roads. The Borough was in a period of decline. As Naugatuck entered the 21st-century, it began to wake up and begin a process to remake itself. Ownership of former industrial sites was acquired by the Borough. Brownsfield remediation of the downtown sites was commenced·. Funding from State and Federal sources was acquired to replace outdated infrastructure and prepare the downtown Brownfield sites for new development. The State of Connecticut upgraded service on the Waterbury Branch Line and allowed two way traffic for the first time.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The process of transformation from an abandoned industrial area to a transit oriented development district was underway.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           In 2024, the Waterbury branch line has become a real commuter train line for the first time in the history of the Valley. Train service has increased from 11 to 22 trains per day. You can now for the first time commute from any southern point on the train line to Naugatuck or travel south, knowing that you can return at a convenient time. Connecticut DOT is funding the relocation of the train platform from its current location to the most central part of downtown Naugatuck. The State is also funding a new train station in the center of downtown Naugatuck. The enhancements to the train line and the increased rail service have greatly enhanced the demographics of downtown Naugatuck. National developers are building new residential apartments together with commercial uses in the downtown area. Interest in developing property in Naugatuck is rising. Vibrancy is returning to downtown Naugatuck. Remediation has been completed and State and Federal funding is in place. The old infrastructure is being replaced and Naugatuck is well on its way to reshaping its core. The grand list is increasing. Naugatuck is now ready to embrace the 21st century and beyond.

           The Borough of Naugatuck has spent the last several years preparing the land formerly owned by the Uniroyal Footwear Division and the Uniroyal Chemical Division for development. Parcels A and B as well as the former 86 acre site Uniroyal Chemical site are in the process of being developed. Remediation issues have been overcome and we have paved the way for development by upgrading the infrastructure for both sites. All storm water pipes, sanitary sewers, city water lines, electrical and gas lines as well as fiber have been or are being replaced. Storm water from the west side of Naugatuck has been diverted away from Parcels A and B in order to allow the parcels to be developed. New utility lines are being installed for new construction on Parcel B and at the former Uniroyal Chemical 86 acre site. The State of Connecticut is in the process of completing its final design to relocate the train platform to Parcel B and to build a new train station on Parcel B. Most importantly, funding for all projects is in place consisting of federal ARPA money, two state grants, and private investment coupled with borough grant matches from a newly created tax incremental financing
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           district. The projects listed below are all in the development stage and they move forward every day.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Borough of Naugatuck has created a TIF (Tax Incremental Financing) District to further the redevelopment of Downtown, the Rubber Avenue Corridor, as well as our new Industrial Park at the Former Uniroyal Chemical Site. A map of the TIF District is attached hereto as exhibit A. The TIF district essentially mirrors the original Borough of Naugatuck development plan that sets forth the Borough vision for the future. The original Borough plan created in 2016 is attached hereto as exhibit B.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The TIF District showcases the high priority development areas in the Borough, and also establishes a self-sustaining funding mechanism for projects within the TIF district. TIF captures increases in property taxes resulting from new development in the TIF district and diverts such revenue to subsidize development within the District without utilizing the Borough general fund.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Within the Borough’s TIF District, economic development is currently underway at this
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           time on the following projects:

           All nine projects are discussed herein and will be updated on a regular basis going forward. In addition, Part II of this memorandum will outline an additional five Borough projects that are being prepared to proceed to the development stage.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           1. ARPA Downtown Complete Streets &amp;amp; Utility Project:
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The infrastructure in downtown Naugatuck Connecticut was first built in the mid to late 19th century (1825-1890.) The infrastructure is antiquated and must be replaced. Current infrastructure is not adequate for our current needs and new development is not feasible without infrastructure upgrades. The Borough of Naugatuck is using all of its ARPA federal money together with TIF funds to construct new storm water lines, sanitary sewers, electric and gas lines, city water as well as fiber lines. These improvements are absolutely necessary and are currently under way. The construction that you see downtown is directly related to these upgrades. These improvements must be made prior to paving and to the installation of street upgrades and other amenities. Downtown Naugatuck is getting a complete remake to service existing as well as future businesses. Construction will be completed in 2024 and into early 2025. There will be inconvenience as the work is being completed. All efforts will be made to minimize the inconvenience. Construction schedules will be posted on the Borough website. These infrastructure improvements provide the foundation to repair existing problems and to
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           allow for new development. Renderings of the complete streets project are attached hereto as exhibits C and D.
           &#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
&lt;/div&gt;&#xD;
&lt;div data-rss-type="text"&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           All new city water lines have been installed. Eversource Electric has built above ground transformers to replace underground vaults
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           which are currently being removed or modified. New storm water pipes 4 times the size of the existing pipes are currently being
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           installed. New fiber lines encased in stone and concrete are currently being installed.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Final paving for Church Street North of Division Street is underway. North Church Street is being regraded at this time and the asphalt will be completed this November.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           New sanitary sewer lines for the remainder of Church Street will be installed after storm water, fiber and electric lines are complete. All pipe work for Church Street will be completed this year.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Follow up Eversource Electric work needs to be completed. All work including amenities and final paving is anticipated to be complete in the
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           summer of 2025.
          &#xD;
    &lt;/span&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
&lt;/div&gt;&#xD;
&lt;div data-rss-type="text"&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           2. Naugatuck Industrial Park – Phase III:
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Borough of Naugatuck acquired the former 86 acre Uniroyal Chemical site last year for $1.00 in a remediated condition with brownfields protection for all future purchasers of the newly created Industrial lots. The site has been remediated by the seller and the project has moved from the remediation stage to the redevelopment stage. A stewardship permit for project development has been issued by the State and the
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            project is underway.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            The project will create a new 13 lot Industrial Park which will satisfy growing demand for industrial space and promote workforce growth. Recently, the Borough was awarded funding under the State of Connecticut’s CIF (Community Investment Fund) program. The funding will be utilized to help construct permanent and temporary access roads on the site, preparing the site for construction pads and ultimate build-out by many interested end users. This regional project will create hundreds of jobs throughout the Naugatuck Valley, with job estimates anywhere between 150-450. The first site has been sold to International Lumber Supply LLC, an expanding regional lumber company that sells lumber, builds throughout the east coast and manufactures trusses and other wood support structures on site.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            The second and third building sites are ready to be sold and there is significant interest in the remaining 9 pad sites. The final lot lines have been drawn and the Borough is finalizing the land division for our new Industrial Park. This project will generate millions of dollars annually in future tax revenue and will become our greatest source of new revenue moving forward.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Exhibit E represents the site in its current state and exhibit F shows the 13 lot layout which will become Naugatuck Industrial Park – Section III.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Industrial Park subdivision has been approved. Industrial Supply LLC has commenced construction on 2 new buildings on Elm Street.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Phase I road network is going out to bid in October.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Lots 11 and 12 are under development agreements and new buildings will begin construction soon.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Lots 9 and 10 are in the negotiation stage.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            ﻿
           &#xD;
      &lt;/span&gt;&#xD;
      
           There is significant interest in the Phase II of the subdivision.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
&lt;/div&gt;&#xD;
&lt;div data-rss-type="text"&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           3. Rail Line and Train Station Upgrades
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            In July of 2022, the State of Connecticut upgraded train service on the Waterbury Branch of the New Haven Rail Line by increasing train service to 22 trains per day making the Waterbury Branch Line a real commuter line with reliable service for the first time. The State has already invested over 200 million dollars to upgrade the Waterbury Branch Line. These upgrades include sidings which allow 2 way traffic on the Waterbury Branch Line for the first time. In the past, there was only one way traffic on the Waterbury Branch Line from Waterbury to Bridgeport. The sidings installed by the State provide for two way traffic which allows for more trains and increased train service on a daily basis.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            The improvements to the Waterbury Branch Line dramatically enhance the demographics of downtown Naugatuck as we now have reliable commuter train services. You can now leave Naugatuck and proceed to any southern destination and have the knowledge that you have several reliable options for a return trip on the same day. The State is also moving forward with the relocation of the Borough train platform from the Station Restaurant to Parcel B in the heart of downtown Naugatuck.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            The State is building a new train station on Parcel B utilizing state funds for the entire project. The relocation of the train station and train platform by the State to the center of downtown Naugatuck makes Parcels B and A the quintessential location for a transit oriented development/mixed use project. The demographics of the downtown area are upgraded significantly because of the proximity of housing to public transportation. Downtown Naugatuck will become even more vibrant with more people living, walking, shopping, etc. in the downtown area.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           This State project is a standalone project that is fully funded by the State of Connecticut.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The State project is in the completion of the design phase with the project expected to go out to bid in the summer of 2024 with construction commencing in early 2025. A rendering of the new train station is attached hereto as exhibit G.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;

    &lt;/span&gt;&#xD;

           The Borough of Naugatuck won a Connecticut Community Challenge grant for 6 million dollars to be used on the downtown T.O.D. project for additional downtown improvements. The project’s scope of work consists of the demolition of a pump house currently located on Parcel B, streetscaping, construction of surrounding roadways and soil stabilization activities on Parcel B. The roadways to be streetscaped and constructed by the Borough include:

  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;

           1. South Water Street from Maple Street to Rubber Avenue

           2. Old Firehouse Road
          &#xD;
    &lt;/span&gt;&#xD;

           The design for these improvements is being completed by Borough consultants and construction will start in 2024 utilizing State funds for the majority of the entire project. The project will also connect the new train station on Parcel B to Church Street with a landscaped archway. These improvements will complete the overall enhancement of downtown Naugatuck.   &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;

           The pump house on Parcel B will be demolished this year. The utility connections to the new train station are also being installed this year.
          &#xD;
    &lt;/span&gt;&#xD;

  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;

           The final amenities for Water Street, Old Firehouse Road, the new connecting road to Old Firehouse Road and landscaped archway to Church Street will be completed in the summer of 2025.

&lt;/div&gt;&#xD;

           5. Parcel B (Transit Oriented Development)
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            Pennrose and the Cloud Company were selected by the Borough of Naugatuck to undertake construction of a mixed-use, mixed rate, affordable housing development on Parcel B in three phases, beginning on the northern portion of Parcel B. The new 6 housing units will be workforce housing where the units will be rented at rates less than market rate. Many seniors and others in the community have difficulty in affording current market rate rents which range from $1500 to $1800 or more per month.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            Workforce housing is not low income housing and is designed for people in the workforce such as police officers, firefighters, teachers and others. Workforce housing also attracts seniors and millennials who want to live in a downtown setting. Phase I will construct one 4-story building with 60 mixed-rate apartments, 3,450 Sq. Ft. of mixed-use space, and 4,700 sq. ft. of amenity space.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            ﻿
           &#xD;
      &lt;/span&gt;&#xD;
      
           A photograph of the site in its current condition is attached hereto as exhibit I. A rendering of the project is included herein as exhibit J. Pennrose's development consists of 1 and 2-bedroom apartments, with the entire development to include 180 new housing units and 7,320 sq. ft. of commercial space. Pennrose and Cloud are in the final stages of financing approval and are hopeful to start construction in 2024.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Construction is scheduled to commence in December of this year pending favorable weather conditions and finalization of project details.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
&lt;/div&gt;&#xD;

  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           6. Parcel A
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Corvus Capital has been selected by the Borough as the developer for the Naugatuck Event Center on Parcel A. The ultimate redevelopment plan for Parcel A includes the conversion of the existing building on the site into 270 market-rate residential units with high-end amenities &amp;amp; underground parking as well as the addition of 3,000 feet of retail space. Corvus will add a fifth story to the building with many amenities for the tenants. The architectural design and strategic location of the building blend in perfectly with the transit-oriented development theme in downtown Naugatuck. An architectural rendering of the building is included herein as exhibit K. Construction will coincide with construction of the train platform and new train station. Demand for housing opportunities have never been greater in the Borough of Naugatuck. Additional people living in the downtown area will enhance all existing businesses and will also attract new business.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           This project is scheduled to coincide with the construction of the new train station. Because the financing is contingent upon an adjacent train station being in place, construction will not start until construction of the train station and platform are underway.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
&lt;/div&gt;&#xD;
&lt;div data-rss-type="text"&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           7. Rubber Avenue Upgrades:
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Borough of Naugatuck has received 12 million dollars in funding from the State LOTCIP program in order to upgrade Rubber Avenue from Old Firehouse Road to Hoadley Street. LOTCIP funding provides municipalities with funding to make major arterial roads safer. Rubber Avenue has more accidents than any other road network in Naugatuck. The addition of a modern roundabout as well as more street widening and other upgrades will make Rubber Avenue safer allowing Naugatuck to qualify for LOTCIP funding. We are receiving State funding because we are making Rubber Avenue a safer road. This funding would not be made available to the Borough without the safety enhancements including the roundabout. The LOTCIP program has previously funded Spring Street as well as North Main Street. LOTCIP funding is a critical part of Borough efforts to upgrade our roads. The Rubber Avenue project is underway. The bulk of the work will be completed in 2024 and early 2025. There will be inconvenience during construction but we are doing all we can to minimize the disruption.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The project is on schedule. The roundabout will be built over the winter months. The contractor provided significant help to the Borough helping with repairing road damage from the flood. The entire project will be completed in the summer of 2025.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
&lt;/div&gt;&#xD;
&lt;div data-rss-type="text"&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           8. Naugatuck River Greenway - Phase II:
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Naugatuck River Greenway Trail – Phase II will run on the eastern side of the Naugatuck River from the Maple Street bridge to Breen field. The Borough has recently received $352,800 by way of a CTDEEP grant to design and engineer Phase II of the Greenway. The Borough will utilize LOTCIP or other State or Federal funding to construct Phase II upon completion of design and engineering. The Borough of Naugatuck is also expecting private investment for a portion of the Greenway.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           We are also working with NVCOG on obtaining funding to extend the greenway from the Pulaski Bridge to Platts Mills along the west side of the river.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Ultimately, the Borough’s greenway trail will span 3.3 miles, connecting with Waterbury in the North and Beacon Falls &amp;amp; the Naugatuck State Forest in the South.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;

           The project is in the design contractor selection phase.
          &#xD;

           9. Façade and Sidewalk Improvement Plan

  &lt;p&gt;&#xD;

           The Borough has implemented a façade improvement plan in order to help existing businesses improve the exterior appearance of existing buildings. The Borough has committed $300,000 from our TIF fund for the program. Details for the project can be obtained from the Mayor’s office. This program will be available during the entire downtown development project and has been extended to other areas near downtown that fall outside the TIF district.

           The Borough of Naugatuck acquired the former Risdon property in 2018 and immediately began the remediation process through the Brownfields program. The property received two Brownfield grants and remediation is 80% complete at this time. We moved our Recycling Center from Rubber Avenue to the Risdon site in 2021 and we also plan to move our Street Department building across from the High School to the Risdon site in the future. We also plan to move the Ambulance building on Rubber Avenue to the Risdon site. These moves will make Rubber Avenue more attractive and will allow the Borough to sell the Borough buildings on Rubber Avenue to get them on the tax rolls to produce new revenue. Several high end retailers are interested in the land across from the High School. We are in the process of applying for grant funding in order to build a new Street Department complex on the Risdon site. All of these projects benefit Rubber Avenue as we continue to upgrade Rubber Avenue and improve the gateway to Naugatuck High School.
          &#xD;

           Grant funding to design the new street department building has been received. Final remediation of the Risdon site will be completed together with construction of the New Street Department building upon receipt of a funding source.

           Over the past century, the Borough of Naugatuck has neglected its sidewalks throughout the Borough. In addition, older neighborhoods that were built prior to zoning in 1958 and the creation of Inland Wetlands regulations in the 1970’s have pre-existing storm water problems that have never been addressed and are getting worse as we endure more serious rain events every year. The cost of replacing and repairing sidewalks is in excess of 30 million dollars at today’s cost. The cost of storm water infrastructure upgrades is even higher. We do not have the financial ability as a town to rectify all problems immediately. We continue to work on these problems every year and we also make every effort to move faster by aggressively seeking grant funding opportunities.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           It must be noted that most sidewalk issues as well as storm water related problems are legally the responsibility of private property owners and not the Borough of Naugatuck. The problem is that there will never be solutions to these issues unless the town assists in finding long term solutions that can be accomplished with help from the State and Federal government as well as the property owners. In order to jump start the process of addressing these town wide issues, the Borough of Naugatuck has applied for a CIF grant to begin addressing sidewalk issues in the Scott Street area as well as storm water issues in the Nettleton Avenue area. The grant will also provide funds to plan construction of a new Street Department building at the Risdon site. The Borough is hopeful that CIF or other grant opportunities will help the Borough find long term solutions to these troublesome problems. The Borough will continue to seek funding opportunities every day and we will work to improve the Borough every year.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Borough was successful in receiving a 5.7 million dollar CIF grant to fund the project. The project is in its early stages.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
&lt;/div&gt;&#xD;
&lt;div data-rss-type="text"&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           3. Reconnecting Community Grant / Pedestrian Bridge River Crossing
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Borough of Naugatuck is currently pursuing a grant to design and construct a pedestrian bridge from the southern side of Parcel B near the new train station that will cross the train line and the Naugatuck River in order to connect downtown Naugatuck with the greenway on the eastern side of the river. This connection will enhance downtown Naugatuck as it will be easier for cars to come off Route 8, park on the east side of the river and cross the pedestrian bridge to the new train station. This connection will enhance all downtown businesses as more people will be able to access the train station to commute to Bridgeport as well as all points south toward New York City. A reliable commuter train line will make downtown Naugatuck more vibrant with more people coming to downtown Naugatuck. The new connection will attract higher end retail stores, restaurants and other businesses.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;

    &lt;span&gt;&#xD;
      
           The design grant has been awarded to the Borough. The project is in the early stages.

    &lt;span&gt;&#xD;
      
           4. Breen Field
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Borough of Naugatuck has completed construction of DelGobbo field which will replace Breen field south. The Borough of Naugatuck is also building a second field to replace Breen field north. Upon completion of the second field, the Borough of Naugatuck will work with Corvus Capital to convert Breen field into a mixed use project with a large residential component, a high end restaurant, a grocery store as well as several river amenities such as a kayak launch and fishing pier. Breen field will be converted from a non-revenue producing parcel of land to one of our largest taxpayers. In addition, we will replace Breen field with better fields for our sports teams.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           This project will not commence until all preconditions are satisfied.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
&lt;/div&gt;&#xD;
&lt;div data-rss-type="text"&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           5. Upgrade of Senior Center
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Borough of Naugatuck is working with our federal delegation in order to gain funding to upgrade our Senior Center. Funding may be available in the next year if the federal government finalizes its budget in Washington D.C. Funding for the Senior Center project is included in the Federal budget but the budget needs to be adopted by the United States government in Washington with our project intact. Our federal delegation is fighting for us. If we are not
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           successful we will continue to pursue federal earmarks for this project.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Borough received a 1.7 million dollar federal earmark to fund the project. The Borough is awaiting finalization of the grant requirements and is working on construction plans for the rehabilitation and addition to the existing building.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
&lt;/div&gt;&#xD;
&lt;div data-rss-type="text"&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           III. Private or other non-Borough Projects
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           All of the projects in Section I and II of this memorandum are Borough projects on Borough land. The Borough controls its own destiny on these projects. There are many other projects on private land in the Borough of Naugatuck that are controlled by private property owners that fall outside the control of the Borough. Most private projects are funded and developed solely by private developers. The Borough is generally involved only if a private developer seeks tax incentives on private land. There is a great deal of interest in private land in Naugatuck.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           At this time, there are several large private projects underway in the Borough including the Assisted Living project on North Main Street which is currently under construction and will become a large taxpayer. The Amazon project on the Waterbury/Naugatuck border has been given the green light and this project will generate approximately five million dollars per year in new revenue that will be shared equally between the Borough of Naugatuck and the City of Waterbury pursuant to an intermunicipal agreement. In addition, the Haynes Group is planning a mixed use project to be called Quarry Naugatuck that will be similar to the Quarry Oxford mixed use development in Oxford.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Naugatuck project will be located at the quarry off New Haven Road near Planet Fitness. These projects and many other smaller projects are moving forward. The future of Naugatuck is Bright.

  &lt;p&gt;&#xD;

           Anyone who questions the rationale behind the Borough downtown construction project should look into the deep holes that are located in the downtown construction zones on Church Street and Rubber Avenue.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Here is what you will see:
          &#xD;
    &lt;/span&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           1. Antiquated and dilapidated water lines which date back to the late 1800’s.
           &#xD;
      &lt;br/&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           2. A woefully inadequate storm drain system at a depth as low as 17 feet which is being replaced by properly sized pipes which are adequate to handle current and future flows. The new pipes are 4 times larger than the current pipes. The new enlarged pipes also redirect the water away from the areas on Parcel A and B to allow for new development and new tax revenue.
           &#xD;
      &lt;br/&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           3. All new fiber and communication lines for all current and future needs encased in stone and concrete as opposed to the current plastic conduit. The new lines are better protected and allow for replacement or upgrading without digging the roadways in the
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           future.
          &#xD;
    &lt;/span&gt;&#xD;
    &lt;span&gt;&#xD;
      
           We are ahead of the curve going forward.
          &#xD;
    &lt;/span&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           4. Underground electric vaults which are regularly flooded are being replaced by above ground transformers which allow for more reliable electrical service.
           &#xD;
      &lt;br/&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           5. All new modern gas lines replacing current outdated lines together with new connections to every property serviced by Eversource gas as well as properties that desire to switch from oil to gas.
           &#xD;
      &lt;br/&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           6. All new properly sized sanitary sewer lines with proper connections to all downtown buildings. The current pipes also date back to the late 1800’s.
           &#xD;
      &lt;br/&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Making all of the improvements at one time is the only way to complete a proper infrastructure upgrade of our downtown core. Church Street, Maple Street, the new section of Water Street, Old Firehouse Road, Rubber Avenue and the new Railroad Alley are all being upgraded in the current construction projects. This will prevent constant future repairs and will also minimize the necessity of digging in the streets going forward. The downtown core would be dug up constantly for the next 8-10 years if all repairs were not properly coordinated into one project. All of the repairs referred to herein are necessary at this time as many of them have been neglected for more than 50 years.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           All Borough projects have been tied together. The money is in place from State and Federal grants.
          &#xD;

           The time for all repairs is now.
          &#xD;

           We cannot move into the 21st century without these upgrades.

           Upon completion of the infrastructure improvements, not only will the roads be paved but there are many amenities included in the overall remake of the downtown core which connect Church Street to our new train station on Parcel B. All work remains on schedule and is projected to be completed in summer of 2025. Downtown Naugatuck is receiving a total remake with all new lighting and landscaping. Our contractors are doing excellent work and they are doing their best to keep all roads open to the maximum extent possible. There is inconvenience but it is much more efficient to deal with all issues at one time.

    &lt;span&gt;&#xD;
      
           The Borough of Naugatuck has spent the last several years preparing the land formerly owned by the Uniroyal Footwear Division and the Uniroyal Chemical Division for development. Parcels A and B as well as the former 86 acre site Uniroyal Chemical site are in the process of being developed. Remediation issues have been overcome and we have paved the way for development by upgrading the infrastructure for both sites. All storm water pipes, sanitary sewers, city water lines, electrical and gas lines as well as fiber have been or are being replaced. Storm water from the west side of Naugatuck has been diverted away from Parcels A and B in order to allow the parcels to be developed. New utility lines are being installed for new construction on Parcel B and at the former Uniroyal Chemical 86 acre site. The State of Connecticut is in the process of completing its final design to relocate the train platform to Parcel B and to build a new train station on Parcel B. Most importantly, funding for all projects is in place consisting of federal ARPA money, two state grants, and private investment coupled with borough grant matches from a newly created tax incremental financing district. The projects listed below are all in the development stage and they move forward every day. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Borough of Naugatuck has created a TIF (Tax Incremental Financing) District to further the redevelopment of Downtown, the Rubber Avenue Corridor, as well as our new Industrial Park at the Former Uniroyal Chemical Site. A map of the TIF District is attached hereto as exhibit A. The TIF district essentially mirrors the original Borough of Naugatuck development plan that sets forth the Borough vision for the future. The original Borough plan created in 2016 is attached hereto as exhibit B. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The TIF District showcases the high priority development areas in the Borough, and also establishes a self-sustaining funding mechanism for projects within the TIF district. TIF captures increases in property taxes resulting from new development in the TIF district and diverts such revenue to subsidize development within the District without utilizing the Borough general fund. 
          &#xD;

  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Within the Borough’s TIF District, economic development is currently underway at this time on the following projects:

           All nine projects are discussed herein and will be updated on a regular basis going forward. In addition, Part II of this memorandum will outline an additional five Borough projects that are being prepared to proceed to the development stage. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           1. ARPA Downtown Complete Streets &amp;amp; Utility Project:
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The infrastructure in downtown Naugatuck Connecticut was first built in the mid to late 19th century (1825-1890.) The infrastructure is antiquated and must be replaced. Current infrastructure is not adequate for our current needs and new development is not feasible without infrastructure upgrades. The Borough of Naugatuck is using all of its ARPA federal money together with TIF funds to construct new storm water lines, sanitary sewers, electric and gas lines, city water as well as fiber lines. These improvements are absolutely necessary and are currently under way. The construction that you see downtown is directly related to these upgrades. These improvements must be made prior to paving and to the installation of street upgrades and other amenities. Downtown Naugatuck is getting a complete remake to service existing as well as future businesses. Construction will be completed in 2024 and into early 2025. There will be inconvenience as the work is being completed. All efforts will be made to minimize the inconvenience. Construction schedules will be posted on the Borough website. These infrastructure improvements provide the foundation to repair existing problems and to allow for new development. Renderings of the complete streets project are attached hereto as exhibits C and D. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           2. Naugatuck Industrial Park – Phase III:
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Borough of Naugatuck acquired the former 86 acre Uniroyal Chemical site last year for $1.00 in a remediated condition with brownfields protection for all future purchasers of the newly created Industrial lots. The site has been remediated by the seller and the project has moved from the remediation stage to the redevelopment stage. A stewardship permit for project development has been issued by the State and the project is underway. The project will create a new 13 lot Industrial Park which will satisfy growing demand for industrial space and promote workforce growth. Recently, the Borough was awarded funding under the State of Connecticut’s CIF (Community between 150-450. The first site has been sold to International Lumber Supply LLC, an expanding regional lumber company that sells lumber, builds throughout the east coast and manufactures trusses and other wood support structures on site. The second and third building sites are ready to be sold and there is significant interest in the remaining 9 pad sites. The final lot lines have been drawn and the Borough is finalizing the land division for our new Industrial Park. This project will generate millions of dollars annually in future tax revenue and will become our greatest source of new revenue moving forward. Exhibit E represents the site in its current state and exhibit F shows the 13 lot layout which will become Naugatuck Industrial Park – Section III. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           3. Rail Line and Train Station Upgrades
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            In July of 2022, the State of Connecticut upgraded train service on the Waterbury Branch of the New Haven Rail Line by increasing train service to 22 trains per day making the Waterbury Branch Line a real commuter line with reliable service for the first time. The State has already invested over 200 million dollars to upgrade the Waterbury Branch Line. These upgrades include sidings which allow 2 way traffic on the Waterbury Branch Line for the first time. In the past, there was only one way traffic on the Waterbury Branch Line from Waterbury to Bridgeport. The sidings installed by the State provide for two way traffic which allows for more trains and increased train service on a daily basis. The improvements to the Waterbury Branch Line dramatically enhance the demographics of downtown Naugatuck as we now have reliable commuter train services. You can now leave Naugatuck and proceed to any southern destination and have the knowledge that you have several reliable options for a return trip on the same day. The State is also moving forward with the relocation of the Borough train platform from the Station Restaurant to Parcel B in the heart of downtown Naugatuck. The State is building a new train station on Parcel B utilizing state funds for the entire project. The relocation of the train station and train platform by the State to the center of downtown Naugatuck makes Parcels B and A the quintessential location for a transit oriented development/mixed use project. The demographics of the downtown area are upgraded  significantly because of the proximity of housing to public transportation. Downtown Naugatuck will become even more vibrant with more people living, walking, shopping, etc. in the downtown area. 
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           This State project is a standalone project that is fully funded by the State of Connecticut. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The State project is in the completion of the design phase with the project expected to go out to bid in the summer of 2024 with construction commencing in early 2025. A rendering of the new train station is attached hereto as exhibit G. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           4. Connecticut Communities Challenge – Major Hub Development
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            The Borough of Naugatuck won a Connecticut Community Challenge grant for 6 million dollars to be used on the downtown T.O.D. project for additional downtown improvements. The project’s scope of work consists of the demolition of a pump house currently located on Parcel B, streetscaping, construction of surrounding roadways and soil stabilization activities on Parcel B. 
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The roadways to be streetscaped and constructed by the Borough include: 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           1.	South Water Street from Maple Street to Rubber Avenue
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           2.	Old Firehouse Road
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           3.	A new road connecting Water Street to Old Firehouse Road
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           4.	Rubber Avenue from Water Street to Old Firehouse Road
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           5.	Other streetscape amenities
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The design for these improvements is being completed by Borough consultants and construction will start in 2024 utilizing State funds for the majority of the entire project. The project will also connect the new train station on Parcel B to Church Street with a landscaped archway. These improvements will complete the overall enhancement of downtown Naugatuck. A rendering of the Major Hub Development project is attached hereto as exhibit H. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           5. Parcel B (Transit Oriented Development)
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Pennrose and the Cloud Company were selected by the Borough of Naugatuck to undertake construction of a mixed-use, mixed rate, affordable housing development on Parcel B in three phases, beginning on the northern portion of Parcel B. The new housing units will be workforce housing where the units will be rented at rates less than market rate. Many seniors and others in the community have difficulty in affording current market rate rents which range from $1500 to $1800 or more per month. Workforce housing is not low income housing and is designed for people in the workforce such as police officers, firefighters, teachers and others. Workforce housing also attracts seniors and millennials who want to live in a downtown setting. Phase I will construct one 4-story building with 60 mixed-rate apartments, 3,450 Sq. Ft. of mixed-use space, and 4,700 sq. ft. of amenity space. A photograph of the site in its current condition is attached hereto as exhibit I. A rendering of the project is included herein as exhibit J. Pennrose's development consists of 1 and 2-bedroom apartments, with the entire development to include 180 new housing units and 7,320 sq. ft. of commercial space. Pennrose and Cloud are in the final stages of financing approval and are hopeful to start construction in 2024. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           6. Parcel A
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Corvus Capital has been selected by the Borough as the developer for the Naugatuck Event Center on Parcel A. The ultimate redevelopment plan for Parcel A includes the conversion of the existing building on the site into 270 market-rate residential units with high-end amenities &amp;amp; underground parking as well as the addition of 3,000 feet of retail space. Corvus will add a fifth story to the building with many amenities for the tenants. The architectural design and strategic location of the building blend in perfectly with the transit-oriented development theme in downtown Naugatuck. An architectural rendering of the building is included herein as exhibit K. Construction will coincide with construction of the train platform and new train station. Demand for housing opportunities have never been greater in the Borough of Naugatuck. Additional people living in the downtown area will enhance all existing businesses and will also attract new business. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           7. Rubber Avenue Upgrades:
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Borough of Naugatuck has received 12 million dollars in funding from the State LOTCIP program in order to upgrade Rubber Avenue from Old Firehouse Road to Hoadley Street. LOTCIP funding provides municipalities with funding to make major arterial roads safer. Rubber Avenue has more accidents than any other road network in Naugatuck. The addition of a modern roundabout as well as more street widening and other upgrades will make Rubber Avenue safer allowing Naugatuck to qualify for LOTCIP funding. We are receiving State funding because we are making Rubber 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Avenue a safer road. This funding would not be made available to the Borough without the safety enhancements including the roundabout. The LOTCIP program has previously funded Spring Street as well as North Main Street. LOTCIP funding is a critical part of Borough efforts to upgrade our roads. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Rubber Avenue project is underway. The bulk of the work will be completed in 2024 and early 2025. There will be inconvenience during construction but we are doing all we can to minimize the disruption. The gateway to our state of the art high school will be upgraded significantly. 
          &#xD;

  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;

           8. Naugatuck River Greenway - Phase II:
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            The Naugatuck River Greenway Trail – Phase II will run on the eastern side of the Naugatuck River from the Maple Street bridge to Breen field. 
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Borough has recently received $352,800 by way of a CTDEEP grant to design and engineer Phase II of the Greenway. The Borough will utilize LOTCIP or other State or Federal funding to construct Phase II upon completion of design and engineering. The Borough of Naugatuck is also expecting private investment for a portion of the Greenway. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           We are also working with NVCOG on obtaining funding to extend the greenway from the Pulaski Bridge to Platts Mills along the west side of the river. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Ultimately, the Borough’s greenway trail will span 3.3 miles, connecting with Waterbury in the North and Beacon Falls &amp;amp; the Naugatuck State Forest in the South. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           9. Façade and Sidewalk Improvement Plan
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            The Borough has implemented a façade improvement plan in order to help existing businesses improve the exterior appearance of existing buildings. The Borough has committed $300,000 from our TIF fund for the program. Details for the project can be obtained from the Mayor’s office. This program will be available during the entire downtown development project and has been extended to other areas near downtown that fall outside the TIF district.

  &lt;/p&gt;&#xD;

           1. Former Risdon property / Rubber Avenue Commercial Sites.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Borough of Naugatuck acquired the former Risdon property in 2018 and immediately began the remediation process through the Brownfields program. The property received two Brownfield grants and remediation is 80% complete at this time. We moved our Recycling Center from Rubber Avenue to the Risdon site in 2021 and we also plan to move our Street Department building across from the High School to the Risdon site in the future. We also plan to move the Ambulance building on Rubber Avenue to the Risdon site. These moves will make Rubber Avenue more attractive and will allow the Borough to sell the Borough buildings on Rubber Avenue to get them on the tax rolls to produce new revenue. Several high end retailers are interested in the land across from the High School. We are in the process of applying for grant funding in order to build a new Street Department complex on the Risdon site. All of these projects benefit Rubber Avenue as we continue to upgrade Rubber Avenue and improve the gateway to Naugatuck High School. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           2. Scott Street / Nettleton Avenue Grant Applications
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Over the past century, the Borough of Naugatuck has neglected its sidewalks throughout the Borough. In addition, older neighborhoods that were built prior to zoning in 1958 and the creation of Inland Wetlands regulations in the 1970’s have pre-existing storm water problems that have never been addressed and are getting worse as we endure more serious rain events every year. The cost of replacing and repairing sidewalks is in excess of 30 million dollars at today’s cost. The cost of storm water infrastructure upgrades is even higher. We do not have the financial ability as a town to rectify all problems immediately. We continue to work on these problems every year and we also make every effort to move faster by aggressively seeking grant funding opportunities. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            It must be noted that most sidewalk issues as well as storm water related problems are legally the responsibility of private property owners and not the Borough of Naugatuck. The problem is that there will never be solutions to these issues unless the town assists in finding long term solutions that can be accomplished with help from the State and Federal government as well as the property owners. 
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           In order to jump start the process of addressing these town wide issues, the Borough of Naugatuck has applied for a CIF grant to begin addressing sidewalk issues in the Scott Street area as well as storm water issues in the Nettleton Avenue area. The grant will also provide funds to plan construction of a new Street Department building at the Risdon site. The Borough is hopeful that CIF or other grant opportunities will help the Borough find long term solutions to these troublesome problems. The Borough will continue to seek funding opportunities every day and we will work to improve the Borough every year. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           3. Reconnecting Community Grant / Pedestrian Bridge River Crossing
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Borough of Naugatuck is currently pursuing a grant to design and construct a pedestrian bridge from the southern side of Parcel B near the new train station that will cross the train line and the Naugatuck River in order to connect downtown Naugatuck with the greenway on the eastern side of the river. This connection will enhance downtown Naugatuck as it will be easier for cars to come off Route 8, park on the east side of the river and cross the pedestrian bridge to the new train station. This connection will enhance all downtown businesses as more people will be able to access the train station to commute to Bridgeport as well as all points south toward New York City. A reliable commuter train line will make downtown Naugatuck more vibrant with more people coming to downtown Naugatuck. The new connection will attract higher end retail stores, restaurants and other businesses. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           4. Breen Field
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Borough of Naugatuck has completed construction of DelGobbo field which will replace Breen field south. The Borough of Naugatuck is also building a second field to replace Breen field north. Upon completion of the second field, the Borough of Naugatuck will work with Corvus Capital to convert Breen field into a mixed use project with a large residential component, a high end restaurant, a grocery store as well as several river amenities such as a kayak launch and fishing pier. Breen field will be converted from a non-revenue producing parcel of land to one of our largest taxpayers. In addition, we will replace Breen field with better fields for our sports teams. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           5. Upgrade of Senior Center
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Borough of Naugatuck is working with our federal delegation in order to gain funding to upgrade our Senior Center. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Funding may be available in the next year if the federal government finalizes its budget in Washington D.C. Funding for the Senior Center project is included in the Federal budget but the budget needs to be adopted by the United States government in Washington with our project intact. Our federal delegation is fighting for us. If we are not successful we will continue to pursue federal earmarks for this project. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;h4&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/h4&gt;&#xD;
  &lt;h4&gt;&#xD;
    &lt;span&gt;&#xD;
      
           III. Private or other non-Borough Projects
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/h4&gt;&#xD;
  &lt;h4&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/h4&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            All of the projects in Section I and II of this memorandum are Borough projects on Borough land. The Borough controls its own destiny on these projects. There are many other projects on private land in the Borough of Naugatuck that are controlled by private property owners that fall outside the control of the Borough. Most private projects are funded and developed solely by private developers. The Borough is generally involved only if a private developer seeks tax incentives on private land. There is a great deal of interest in private land in Naugatuck. 
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            At this time, there are several large private projects underway in the Borough including the Assisted Living project on North Main Street which is currently under construction and will become a large taxpayer. The Amazon project on the Waterbury/Naugatuck border has been given the green light and this project will generate approximately five million dollars per year in new revenue that will be shared equally between the Borough of Naugatuck and the City of Waterbury pursuant to an intermunicipal agreement. In addition, the Haynes Group is planning a mixed use project to be called Quarry Naugatuck that will be similar to the Quarry Oxford mixed use development in Oxford. The Naugatuck project will be located at the quarry off New Haven Road near Planet Fitness. These projects and many other smaller projects are moving forward.
           &#xD;

           Farmers' markets are cherished as vibrant hubs of community, providing fresh produce, other local goods and crafts as well as a sense of connection to the land and its growers. The Naugatuck Farmers' Market is no exception. We have had the pleasure of being serviced by our very own Sunset Farm, Marcucio’s Farm and various craft and food vendors from the area for the past several years.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Over the past year, the Borough of Naugatuck has provided Sunset Farm with the ability to expand by allowing Sunset Farm to utilize Borough land near Sunset Farm on Andrew Mountain. In addition, Sunset Farm has attained the official status of being a “certified organic” farm.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           As Sunset Farm expands, the Borough of Naugatuck has decided to expand our farmer's market using the New Haven Saturday morning Market near Wooster Street as our model. We intend to expand the market every week as we seek new vendors. We anticipate locally sourced meat, poultry, cheese, dog treats, honey and other similar items as well as more craft vendors. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Borough will provide music, bounce houses and other entertainment to attract larger crowds which will also entice more vendors to participate.  To grow a farmers market, you can’t just snap your fingers and obtain more vendors. We need to attract larger crowds and the new vendors will follow.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           We will also be expanding our food selections. We are currently served by Tino’s Café with its specialty Oaxacan flavors as well as the Fat Boys food truck and its out of bounds selections.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            The market vendors will also accept Senior and WIC FMNP benefits.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Sunset Farm will also accept EBT.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           In Naugatuck, we always strive to be the best. Let’s all work together to expand our farmers' market into a Statewide Sunday destination.

      <title>Naugapalooza is Around the Corner!</title>

            Saturday, May 20th
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
    &lt;span&gt;&#xD;
      
           will be a special day in the Borough of Naugatuck. This is the day of our annual Spring Festival with live music, food, free space for vendors and other festive events. Planning for the festival commenced several months ago but the festival continues to expand. The festival is set to take place on May 20th and will include a car show, live music, and the grand opening of our brand new Naugatuck Skatepark. In addition, there will be a downtown food truck festival that takes place on the 20th, and will extend into May 21st.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The festival is being enhanced by the inclusion of last year’s Food Truck Battles on Parcel B where food trucks from the region battle to see who is the best in various categories. Each food truck will be judged by the crowd as well as a group of select judges. Imagine food eating battles on stage monitored by numerous comedians, including but not limited to our own Dave Reilly. Lots of music and free events for the kids, bounce houses, games and carnival rides. To top off the weekend, we are proud to announce the grand opening of the Naugatuck Skate Park on Friday May 19 at 6pm as well as ongoing festivities on the
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           20th and 21st including 12 bands, more food and other exciting activities. We are extremely proud of our premier Skate Park and there will be a host of activities at the Skate Park all weekend.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;

           If you’re into sports, Naugatuck High School is hosting a regional track and field meet on Saturday May 20th . Check out Coach Ralph Roper and our fabulous boys and girls NVSL championship teams in action.       <title>Contagious Excitement at Linden Park</title>

           Most people come to Linden Park to walk by the river, play soccer or to catch a salmon or trout in the Naugatuck River. If you come to Linden Park during the rest of this month or in March, you can witness the contagious excitement evident at the construction site for the new Naugatuck Skate Park!
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Dave Peterson from Rampage together with his team of employees and local volunteers are building a high end, 15,000 sq. ft. Skate Park with a 14 ft. capsule, an 8 ft. quarter pipe with vert and many other special features. The entire workforce is filled with  enthusiasm and new ideas as they finish the designand construction of the park. Rampage also received the benefit of outstanding work from the Naugatuck Street Department. The Street Department reduced costs significantly at the Skateboard Park by processing materials in house and providing excellent compacted fill to the site as well as assistance in grading and compacting to
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Rampage.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Rampage team together with the Street Department and volunteers are creating a spectacular park. The next item on the agenda is to plan a Grand Opening, The date will most likely be in April.

    &lt;span&gt;&#xD;

      <title>Naugatuck's Downtown Development</title>

  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Naugatuck recently won a six million dollar Connecticut Community Challenge Grant to help complete the revamping of Downtown Naugatuck. Here’s what to look for in the downtown area as we move forward in 2023 and into 2024: 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           1. The Borough is using Federal ARPA funding to improve infrastructure in the downtown  area to accommodate our new construction projects and to remedy existing problems.  Storm water pipes, sanitary sewers and other utilities are being upgraded. In addition,  Church Street and Maple Street are being repaved and upgraded to the status of “complete streets”. The overall character and appearance of downtown will be  upgraded significantly. This project will commence later in the year and extend into  2024.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
            
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           2. National Developers Pennrose and the Cloud Company have been selected by the  Borough as the developers for Parcel B (the vacant parking lot on Old Firehouse Road).  The site plan for Parcel B together with the new street alignment is shown in the  diagrams attached hereto. Construction of the first phase of Parcel B will begin in late  2023 or 2024. Parcel B will be developed in 3 phases as a mixed use, transit oriented  development project. The focus will be on residential tenants who can utilize public  transportation. The units are limited to one and two bedroom units. Additional people  living in the downtown area significantly improves our demographics and makes  Naugatuck more attractive to new stores and other businesses. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           3. The State of Connecticut is currently designing the relocation of our existing Waterbury  Branch Line train platform from its current location to the center of Parcel B. The State  is also building a new train station on Parcel B and they are also extending Water Street into Parcel B and back out to Old Firehouse Road. These projects are funded entirely by the State of Connecticut. The State design is currently underway and the funding has  been approved. Construction should be underway in 2024. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            4. The Borough has selected
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
    &lt;a href="https://corvuscapital.com/" target="_blank"&gt;&#xD;
      
           Corvus Capital
          &#xD;
    &lt;/a&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            as the developer for Parcel A – (The Naugatuck Event Center) to construct a 270 unit market rate, apartment complex with a  commercial component in order to bring additional vibrancy to our downtown. The  units are limited to one and two bedroom apartments. Renters with more disposable  income will enhance our demographics by shopping downtown and utilizing our  restaurants. The Waterbury Branch Line which now has 22 trains per day will also attract more tenants. The investment into the building by Corvus Capital will be in excess of 75 million dollars and construction is expected to commence in 2023. 
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           5. The Connecticut Community Challenge Grant award to the Borough will allow for us to  pay for the extension of Water Street from the center of Parcel B to Rubber Avenue and  along the Event Center to the intersection of Rubber Avenue and Old Firehouse Road.  See the attached road alignment diagram. The Connecticut Community Challenge grant  will also pay for the revamping of Old Firehouse Road in order for all downtown streets  to conform to the complete streets format. Bike paths, upgraded alleyways and other  street enhancements for the project will also be completed. The Connecticut  Community Challenge grant will also pay for other finishing touches on Parcel B. These  improvements will coincide with the development of Parcel B as well as the rest of the  downtown area. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            6. Also commencing in 2023 will be the Rubber Avenue upgrade project which is funded by  the State of Connecticut through the LOTCIP program. A total upgrade to Rubber Avenue will begin later this year.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The State is paying for all of the upgrades
          &#xD;
    &lt;/span&gt;&#xD;
    &lt;span&gt;&#xD;
      
           . We will also  be selling the old Recycling Center on Rubber Avenue, the Street Department office and Ambulance Building as well as the Street Department building near the High School in  order to add new businesses to the grand list. The Street Department and Ambulance  Building will join the Recycling Center at the former Risdon site. The Street Department  relocation project will not commence until we receive State or Federal funding. Rubber  Avenue and other parts of downtown will also have a façade improvement program and  the entire character of the roadway will be upgraded significantly. Rubber Avenue is the  gateway to our newly renovated high school and it is due for a major facelift.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           7. We acquired ownership of the 86 acre former Uniroyal Chemical site in 2022 and we are  currently designing an industrial subdivision for the site. These new parcels will add jobs  and create new revenue for the Borough. Construction may start in 2023 or early 2024  and this project will continue for many years. 
           &#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
&lt;/div&gt;&#xD;

      <title>Our Town Unites For Baby Camilla</title>

           The foundation of every great Town is a large number of people who really care about their community. In Naugatuck, a vast majority of our citizens love their town and they always step up to the plate to help out whenever necessary. This fact is especially true in times of crisis or tragedy.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           On November 18, 2022, the Borough experienced the most horrific tragedy imaginable. A one year old baby’s life was taken from us. The Naugatuck Police Department immediately began an investigation and man hunt. It was all hands on deck until the fugitive was captured. The police social worker and other Police Officers worked with the family to help out as needed during the hunt for the killer. Every member of the department as well as many other town departments did their part to assist the family of baby Camilla.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The police department designated the color pink as the color to be worn by officers to remember "Baby Camilla". The officers began wearing pink ribbons. Pink bracelets were purchased and worn by the NPD. Naugatuck citizens and many business locations set up pink lights and signs throughout the town. The community rallied to come to a vigil for Baby Camilla and her family on a rainy night. The gazebo was lit in pink. The citizens of Naugatuck once again stepped up to the plate to help the family.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;

           Pink bracelets were purchased to go on sale to help Camilla's mother. The post to sell the bracelets went viral. The first batch of bracelets sold out in 2 hours at all Dunkin locations, the Loaded Goat and Town Hall. More bracelets were received and they are selling like wildfire.

            All great rivalries are built on respect.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
    &lt;span&gt;&#xD;
      
           This is especially true in the case of the oldest football rivalry in the State of Connecticut – NAUGATUCK vs. ANSONIA. For the past 122 years, Thanksgiving morning in both towns is dedicated to a football war that means the world to both teams as well as both communities. Naugatuck has the utmost respect for the Ansonia team and its coaching staff. We recognize that their record in the big game on Thanksgiving morning over the past 50 years has been far superior to ours in football. It is equally true that our record in all sports combined over the past 50 years has been far superior to their record. Records don’t mean anything when it comes to rivalries. The game on Thanksgiving morning in Naugatuck will be a war.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
      
           You can’t win a war unless you prepare to win. There is no doubt in my mind that as I write this blog, head coach Chris Anderson and the rest of his staff are planning strategy for the game. In Naugatuck, we strive to be the best in everything. We are very proud of our coaching staff as well as our players and everyone connected with our sports programs. Coach Anderson and his team are preparing to win. They are working hard to improve every day and they embody the spirit and culture of the gritty community of Naugatuck. Two things are guaranteed on Thanksgiving morning.            Another component of a great rivalry is that after the game, over a period of years, our young warriors become friends with their competitors throughout the Valley. The Valley is a very special place. We all compete whether it be in football, softball, basketball, swimming, soccer, shuffleboard, or any other endeavor. It is our nature and culture. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
      
           Part of our culture is to continue to support our team as we get older in life. We still go to the games. We come home for Thanksgiving, celebrate Valley New Year on Wednesday night and go to the game on Thanksgiving morning. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;

      <title>It's All About the Trains</title>

           The game changed for the better
          &#xD;
    &lt;/span&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;span&gt;&#xD;
        
            in Naugatuck in July of this year. For the first time in history, the Waterbury Branch Line has 22 trains per day running in both directions from Waterbury to Bridgeport and Bridgeport to Waterbury. The State of Connecticut completed its long anticipated program of building train sidings (allowing two way train traffic) as well as modern signalization and positive train control. The increase in train cars means that the Waterbury Branch Line has become a reliable commuter train line for the first time in history. Commuters can now leave Naugatuck in the morning and know that they will have a reliable return trip with several time options later in the day. The increase in train services significantly improves the demographics in Naugatuck and is the catalyst for positive long term growth. 
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
      
           Naugatuck has been waiting to launch its downtown development plans in order for them to coincide with the increase in train service. The State of Connecticut is relocating the existing train platform from its current location to Parcel B (the vacant parking lot on Old Firehouse Road). The State is also building a new train station on Parcel B and they are extending Water Street into Parcel B. These improvements are currently in the design stage and construction will commence in late 2023 or 2024.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
      
           The Borough issued a Request for Proposals to solicit developers to build a mixed use development on Parcel B adjacent to the train platform. The development will have a large residential component in order to attract more people to live in the downtown area to create vibrancy and a more livable and walkable downtown area. The units will have low space requirements and will consist solely of one and two bedroom units which will attract millennials, seniors and others who want to live in a vibrant downtown setting with direct access to public transportation. This form of development is labeled T.O.D. or Transit Oriented Development.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           TOD works well throughout the United States where there is reliable public transportation in downtown settings. The recent increase in train availability has already paid dividends as there is increased interest in downtown Naugatuck on the residential as well as the commercial side. We have already attracted two highly rated development companies to develop Parcels A and B in downtown Naugatuck and there is increased interest in many other Naugatuck properties. At the end of the day it’s really all about the trains. 
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
